CHANGES TO THE BOARD: RESIGNATION OF THE CHIEF EXECUTIVE OFFICER

In compliance with paragraph 3.59 of the JSE Limited Listings
Requirements, shareholders of Bell Equipment (“Shareholders”) are
hereby advised that Mr Leon Goosen has tendered his resignation as
chief executive (“CEO”) to pursue another opportunity. Leon will step
down as CEO with effect from 31 December 2023. This will ensure a
smooth transition and handover to his successor.

Leon joined the Bell Equipment Board of Directors in January 2009 and
was the chief operations officer from December 2014 until he was
appointed as the CEO in 2018.

Mr Gary Bell, Chairman of the Board, thanked Leon for his valuable
contribution to Bell Equipment during his tenure as CEO saying, "Leon
has played a pivotal role in driving the success of the Group and the
Board wishes him well in his future endeavours."

A process to appoint a new CEO will be initiated in due course and an
announcement will be published once an appointment is made.
