Fulfilment of the conditions precedent to, and implementation of, the           
acquisition of a further 24.7% effective interest in Batho Bonke Capital        
(Proprietary) Limited ("the Batho Bonke acquisition")                           
Further to the announcements dated 28 September 2005 and 30 November 2005, Mvela
Group is pleased to announce that all of the conditions precedent to the Batho  
Bonke acquisition have been fulfilled. Accordingly, the Batho Bonke acquisition 
has become unconditional and will be implemented.                               
Mvela Group has, on 21 December 2005, issued 33 897 188 new Mvela Group ordinary
shares in partial settlement of the purchase consideration in terms of the Batho
Bonke acquisition.
