IMPLEMENTATION OF THE SCHEME AND DELISTING


Unless the context indicates otherwise, terms used in this announcement bear the same meanings given to such
terms in the Offer Circular issued on Thursday, 25 March 2021 (“Offer Circular”).


 1.    INTRODUCTION

       Shareholders are referred to the Firm Intention Announcement relating to the Scheme, published on Friday, 26
       February 2021, the Offer Circular, the announcement disclosing the results of the General Meeting, published
       on Thursday, 27 May 2021 and the Finalisation Announcement published on Friday, 11 June 2021.

 2.    IMPLEMENTATION OF THE SCHEME AND DELISTING

       The Board advises that the Scheme has been implemented in accordance with its terms and Scheme Participants
       will be paid today, the 28th of June 2021, the Scheme Consideration in line with the terms set out in the Offer
       Circular.

       The listing of Value Group Ordinary Shares on the JSE will be terminated with effect from the commencement of
       trade tomorrow, Tuesday, 29 June 2021.
