Covid-19 Impact On Annual General Meeting And Update On Procedure

Shareholders are referred to the announcement released on 23 March
2020 regarding the postponement of the Company’s AGM to 16 April 2020
due to the need to set up facilities to host the AGM electronically.

In this regard, shareholders are advised that the AGM will only be
accessible through electronic participation, as provided for by the
JSE Limited and in terms of the provisions of the Companies Act 71 of
2008 and the Company’s memorandum of incorporation.

The communications platform to be used to host the AGM electronically
will be Microsoft Teams.

Any shareholder who wishes to participate electronically at the AGM
is required to send an email to the company secretary at
damien@aeei.co.za by 14:00 on Tuesday, 14 April 2020, in order for
the company to verify shareholders.

The application form as contained in annexure C of the Company’s
Notice of AGM must accompany the above email to allow for verification.

Upon verification of the above details, the shareholder will be added
to participate at the AGM electronically.

Voting

Participants electronically participating at the AGM will not be able
to cast their votes at the AGM.

Accordingly, shareholders wishing to participate and vote at the AGM
are requested to submit forms of proxy to the company’s transfer
secretaries (in the case of certificated shareholders and own-name
dematerialised shareholders) or provide instructions to their
appointed CSDP or broker (in the case of dematerialised shareholders
other than own-name registration).
