FILING OF FORM S-1 BY MONTAUK RENEWABLES
The Company’s shareholders (“Shareholders”) are referred to the circular posted to Shareholders on 16 November 2020
(the “Circular”) and the announcements released by the Company on the stock exchange news service operated by the JSE
Limited on 31 October 2018, 14 October 2020 and 16 November 2020 in which the Company announced plans for a
proposed listing on the Nasdaq Stock Market with a secondary inward listing on the Main Board of the JSE (collectively the
“Listing”) which would follow a corporate restructure with a new holding company, Montauk Renewables, Inc. (“Montauk
Renewables”), which would ultimately hold the business and assets of the Company (“Corporate Restructure”). After
completion of the Corporate Restructure it is proposed that all of the shares of Montauk Renewables will be distributed to
Shareholders by way of a distribution in specie (subject to the withholding of certain Montauk Renewables shares).
In relation to the Listing Shareholders are notified that Montauk Renewables has filed a registration statement on Form S-1
with the United States Securities and Exchange Commission (“SEC”) under the Securities Act to register the offer and sale
of shares of common stock of Montauk Renewables (“Form S-1”). The Form S-1 is available to view and download at:

While the filing of the Form S-1 with the SEC is a public filing, the Form S-1 remains subject to change pursuant to any
comments received from the SEC.
