VOLUNTARY ANNOUNCEMENT: COMPLETION OF VIRGIN ACTIVE ACQUISITION 
 
Brait shareholders are referred to the announcement released on the website of the 
Luxembourg Stock Exchange and on the Stock Exchange News Service of the JSE 
Limited on 16 April 2015 in terms of which Brait’s wholly owned subsidiary, Brait 
Mauritius Limited, entered into a conditional agreement, primarily with Darwin 
Holdings, a wholly owned subsidiary of funds managed and advised by  CVC Capital 
Partners, and Virgin Group Holdings Limited, to acquire a c.80% interest in Virgin 
Active (“the Acquisition”) for c.GBP691 million. 
 
The board of directors of Brait is pleased to confirm the completion of the 
Acquisition. The family interests of Sir Richard Branson and the existing Virgin Active 
management will hold the remaining c.20%. 
 
16 July 2015 
 
Brait’s primary listing is on the Euro MTF market of the Luxembourg Stock Exchange 
and its secondary listing is on the Johannesburg Stock Exchange.
