Shareholders are referred to the various announcements released on SENS and the circular to shareholders dated 18 July 2018, containing full details of the BEE transaction between Vodacom Group td. (?Vodacom?) and YeboYethu (the ?BEE transaction?), copies of which can be found on the YeboYethu website at www.yeboyethu.co.za (the ?BEE circular?). Terms defined in the BEE circular will, unless otherwise indicated, have the same meaning in this announcement.



Fulfilment of General Transaction Conditions

The general transaction conditions upon which the commencement of the implementation of the BEE transaction was conditional have now been fulfilled/waived and, as such, the BEE transaction will begin to be implemented in accordance with the timetable set out in paragraph 3 below.



BEE transaction and special dividend timetable

Shareholders are advised that the relevant dates pertaining to the BEE transaction and special dividend have been amended and the new dates are set out in the table below:

*Last day to trade in order to be eligible to receive the special dividend - Thursday 6 September 2018

*YeboYethu ordinary shares trade ex-special dividend - Friday 7 September 2018

*First implementation day on or about - Tuesday 11 September 2018

*Conversion of YeboYethu N shares - Tuesday 11 September 2018

*Issue of additional YeboYethu ordinary shares - Tuesday 11 September 2018

*Special dividend record date - Tuesday 11 September 2018

*YeboYethu issues class A preference shares, and class B preference shares - Friday 14 September 2018

*Special dividend payment date - Friday 14 September 2018



No dematerialisation or rematerialisation of share certificates will be allowed during the period Friday 7 September 2018 to Tuesday 11 September 2018.

Shareholders are advised that at the tenth annual general meeting of YeboYethu on Friday 17 August 2018, the ordinary and special resolutions as set out in the notice of annual general meeting were passed by the requisite majorities.



Result of general meeting

Shareholders are referred to the announcements released on SENS on Monday 11 June 2018, Wednesday 4 July 2018 and Wednesday 18 July 2018 and published in the South African press on Tuesday 12 June 2018, Thursday 5 July 2018 and 19 July 2018 respectively setting out details of the BEE transaction between Vodacom Group Ltd. (?Vodacom Group?) and YeboYethu (the ?BEE transaction?), which announcements can be accessed on the YeboYethu website at www.yeboyethu.co.za (the ?previous announcements?).



Shareholders are advised that at the general meeting of YeboYethu held today, Friday 17 August 2018, all the ordinary and special resolutions as set out in the notice of general meeting were passed by the requisite majorities.



Remaining conditions precedent

The BEE transaction remains conditional upon:

* filing of an amendment to, and/or replacement of, Vodacom South Africa?s memorandum of incorporation, in a form acceptable to YeboYethu and Vodacom Group, which includes those amendments required to give effect to the BEE transaction;

* filing of an amendment to, and/or replacement of, YeboYethu?s memorandum of incorporation, in a form acceptable to Vodacom South Africa, YeboYethu and Vodacom Group, which includes those amendments required to give effect to the BEE transaction;

* the transaction agreements becoming unconditional in accordance with their terms;

* the funding agreements becoming unconditional in accordance with their terms; and

* the issue by the Takeover Regulation Panel of a compliance certificate with respect to the BEE transaction in terms of section 121(b) of the Companies Act.



Further announcement

A further announcement confirming the fulfilment of the remaining conditions precedent will be released on SENS in due course.



Withdrawal of cautionary

Further to the previous announcements and the subsequent approval by shareholders of the BEE transaction in the general meeting held earlier today (per paragraph 2 above), the cautionary is herewith withdrawn.

YeboYethu?s only material investment is its investment in Vodacom (Pty) Ltd. Shareholders are advised that Vodacom Group Ltd. ("Vodacom") has released its annual results for the year ended 31 March 2018 on SENS.



Audited YeboYethu results for the year ended 31 March 2018 are also available on YeboYethu's website at www.yeboyethu.co.za. The salient features include:

- Gain on remeasurement of financial instrument of R624.0 million (2017: R352.7 million);

- Vodacom SA option asset up 38.2% (2017: 27.5%) to R2 258.8 million;

- Basic earnings per share of 3 464.0 cents (2017: 2 012.1 cents); and

- A gross dividend of 100 cents (2017: 112 cents) per ordinary share to be paid on 4 June 2018.



Income for the period increased to R20 million (2017: R19.4 million), operating profit rose to R16.5 million (2017: R15.3 million), net profit soared to R498.6 million (2017: R289.7 million), while headline earnings per share grew to 3 464 cents per share (2017: 2 012.1 cents per share).

Declaration of final dividend number 10 - payable from income reserves

A gross final dividend number 10 of 100 cents per ordinary share in respect of the financial year ended 31 March 2018 has been declared payable on Monday 4 June 2018 to shareholders recorded in the register at the close of business on Friday 1 June 2018.

Income for the interim period increased to R13.2 million (2016: R11.9 million). Operating profit grew to R10.8 million (2016: R9.4 million). Net profit shot up to R214.5 million (2016: R15.7 million). Furthermore, headline earnings per share rose to 1 490 cents per share (2016: 108.9 cents per share).



Dividends

Dividends are declared and paid annually as per the dividend policy. The final gross dividend of 112 cents per ordinary share, paid on 12 June 2017 (2016: 111 cents per ordinary share paid on 31 May 2016).

YeboYethu released their maiden set of final results since listing on the JSE. Income for the period came in at R19.4 million, operating profit was R15.3 million, net profit was recorded at R289.7 million, while headline earnings per share was 2 012.1 cents per share.

YeboYethu was incorporated on 19 June 2008 as a single purpose vehicle to hold a direct investment in Vodacom (Pty) Ltd. ("Vodacom SA") and facilitate BEE in the mobile telecommunications sector. Since YeboYethu's incorporation, over 100 000 black people have been able to hold, through investing in YeboYethu shares, a beneficial interest in Vodacom SA, South Africa?s largest mobile communications operator (by customer and revenue).



YeboYethu issued 14 400 000 ordinary shares to the black public and 12 000 000 convertible N shares to Vodacom SA's employee share incentive trust. 14 400 000 YeboYethu ordinary shares were offered at R25 each to the black public and black business partners of Vodacom SA pursuant to the initial public offering in 2008. As a result of the public offer, approximately 102 000 qualifying black investors became YeboYethu ordinary shareholders. The Vodacom SA BEE transaction was, at the time of the implementation of the abovementioned transaction ("Vodacom SA BEE Transaction"), one of South Africa?s largest empowerment schemes in the telecommunications industry. The Vodacom SA BEE Transaction, valued at approximately R7.5 billion, was concluded as part of Vodacom SA?s on-going efforts to further its BEE objectives in South Africa, and in particular, resulted in YeboYethu owning a maximum of 3.44% of Vodacom SA.
