Shareholders are referred to Special Resolution 2 relating to the provision of direct or indirect financial assistance in terms of section 45(5) of the Act to related and inter- related companies, which was approved at the annual general meeting on 9 November 2017.



Further to the above, shareholders are notified, in terms of section 45(5) of the Act, that the Board passed a resolution on 7 August 2018 in terms of which the company will grant financial assistance, under the R1,140 billion loan facility, to City Lodge Hotels (Africa) Pty Ltd, an inter-related company of City Lodge, in the amount of R300 million for purposes of achieving the company?s expansion initiatives.



The financial assistance, as detailed above, exceeds one- tenth of 1% of the company?s net worth as at the date of the board resolution.

* the terms under which such financial assistance would be given are fair and reasonable to the company; and

that any conditions or restrictions relating to the granting of such financial assistance contained in the company?s memorandum of incorporation have been satisfied.

Revenue for the year decreased by 1% to R1.50 billion (R1.52 billion). Results from operating activities lowered 6% to R467.5 million (R496.4 million). Profit for the period took a 5% knock to R279.4 million (R295.1 million). In addition, headline earnings per share decreased 11% to 718.1 cents per share (810.2 cents per share).



Dividend

The board has approved and declared final dividend number 59 of 201 cents per ordinary share (gross) in respect of the year ended 30 June 2018.



Outlook

In South Africa, occupancies in the new financial year have continued the soft trend of the previous year. It is unlikely that there will be a meaningful change in sentiment until after the country has held its general election, which is likely to take place in the second quarter of 2019. The outlook for hotels located outside of South Africa, has shown encouraging signs of improvement and the group will benefit from the opening of the new hotels.

Shareholders are advised that Clifford Ross, will, due to ill health, be stepping down as CEO from 30 June 2018.



Clifford has enjoyed an outstanding career with City Lodge spanning some 30 years. Following his initial appointment as GM of City Lodge Hotel Bryanston in 1987, he was promoted to operations director in 1991, MD in 1994 and finally as CEO in 2003. During his tenure Clifford has overseen the group?s expansion to 61 hotels operating in six countries on the continent.



The board expresses its sincere appreciation to Clifford for his dedicated leadership, commitment and valued contribution and wishes him well for the future.



The board is pleased to announce that Andrew Widegger will succeed Clifford as CEO with effect from 1 July 2018. Andrew joined the company as Group Financial Manager in 1993 and has fulfilled the role of FD on the board since 1994. His in-depth knowledge, expertise and experience across all aspects of the business make him the ideal candidate for the role of CEO and will ensure a smooth transition in executive leadership. The board welcomes Andrew in his new role and is confident that, under his leadership, the group will enjoy continued success.



In addition to Andrew?s appointment, the following appointments have been made, both with effect from 1 July 2018:

*Alastair Dooley as CFO and executive director on the board.

*Lindiwe Sangweni-Siddo as COO and executive director on the board.

Revenue for the interim period was 1% lower at R787.1 million (R791.3 million) whilst results from operating activities went down 8% to R258.2 million (R280.7 million). Profit for the period decreased 5% to R157.3 million (R166.4 million). In addition, headline earnings per share declined 16% to 383.8 cents per share (457.2 cents per share).



Dividend

The board has approved and declared interim dividend number 58 of 253.0 cents per ordinary share (gross) in respect of the six months ended 31 December 2017.



Company outlook

Occupancies at the Kenyan operations have shown good signs of recovery in the first six weeks of 2018. In South Africa there have been encouraging signs of improving sentiment and meaningful political change that could boost the economy, these have however yet to translate into noticeably stronger trading. It is expected that the group will be an early beneficiary of higher levels of confidence.



The group has taken a number of proactive steps to reduce water consumption at its six hotels in the greater Cape Town area and alternative sources of supply are being investigated.

According Business Report City Lodge Hotels group has commenced the development of a 148 room City Lodge Hotel in Maputo in Mozambique as part of its R1 billion expansion into Africa and is considering further opportunities on the continent. Chief executive Clifford Ross said that the group believed there were more opportunities with Kenya's capital Nairobi still able to take one or two of the group's brands, such as a Road Lodge and Town Lodge.

Results from operating activities were 4% higher at R280.7 million (2015: R270.0 million) whilst profit for the period was recorded 1% higher at R166.4 million (2015: R164.8 million). According to Business Report City Lodge Hotels group is forging ahead with its R1 billion expansion into Africa but still believes there are opportunities in the South African market. City Lodge chief executive Clifford Ross said the group was still hopeful about opening five new hotels in Kenya, Tanzania, Uganda, Mozambique and Namibia by the end of next year. Ross indicated that by diversifying the group's income streams and reducing country risk were taken into account when the group decided to expand into southern and eastern Africa.

Outlook

The trend of higher occupancies has continued in the second half of the financial year, albeit at a slower pace. While a positive momentum is expected to be maintained in the medium term, it is likely that business and government travel will be negatively affected in the lead-up to and holding of local government elections which are required to take place between 18 May and 16 August 2016.

According to Business Day, City Lodge opened the first part of its recently developed 148-room City Lodge Hotel Newtown in downtown Johannesburg signifying confidence in the improvement of the inner city. City Lodge Hotel Newtown is the group's initial hotel development in Johannesburg's central business district and the first major branded hotel to be built there since some major hotels exited the inner city in the late 1900s. The R146 million expansion is likely to be fully operative by month-end.

Outlook

The trend of better than prior year occupancies has continued into July and August, auguring well for this momentum to be maintained in the year ahead.

According to Business Report City Lodge group had embarked on a R1 billion expansion into Africa while also proceeding with a number of projects in South Africa. Chief executive Clifford Ross said that the group's expansion into Africa had commenced with its acquisition of two hotels in Nairobi, Kenya and the opening of a Town Lodge in Gaborone, Botswana. The group now planned to commence with construction, within the next few weeks, of a 170-room hotel in a new node in Nairobi.

Business Report announced that City Lodge concluded a deal with Hospitality to acquire its hotel portfolio for R80 million in cash. Chief executive of City Lodge Clifford Ross, said that the Courtyard Hotel Brand was an integral part of the City Lodge Hotel group's portfolio of brands and the transaction complemented their strategy of providing quality accommodation options in the one to four-star business and leisure traveller markets in South Africa. City Lodge confirmed that all conditions have been met and the transaction will be effective from the 1st of May 2015. City Lodge will wholly own hotels in Bruma Lake, Arcadia, Rosebank and Sandown after the deal. City Lodge also announced plans to construct new hotels in Nairobi and Dar es Salaam, while ongoing negotiations continue for further hotel developments in Windhoek, Kampala and Maputo.

City Lodge has reached agreement with Nairobi-based Fairview Hotel Ltd. to acquire the other 50% of a joint venture between the two companies, giving it full ownership of the Fairview Hotel and the Country Lodge in Kenya's capital city. Completion of the sale is subject to Kenyan and South African regulatory approvals, including that of the Competition Authority of Kenya.



Representing its first expansion foray outside South Africa, City Lodge acquired 50% of the two hotels in May 2012 and established a joint venture with the hotels' previous owners to investigate other expansion opportunities in Kenya and elsewhere in East Africa. The agreement regarding City Lodge's acquisition of the other 50% of the joint venture is effective from 31 January 2014.



Apart from its investment in Kenya, City Lodge also has a Town Lodge in Gaborone, Botswana, and is examining expansion opportunities in East Africa, West Africa and some Southern African Development community countries. The City Lodge Hotel Group operates 55 hotels offering 6 755 rooms across four brands in South Africa, Kenya and Botswana.

Adding further impetus to its expansion drive into selected parts of East, West and southern Africa, the City Lodge Hotels group has reached agreement with the shareholders of Fairview Hotel Ltd. to acquire a 50% stake in that company which owns and operates two hotels in the Upper Hill area of Kenya's capital city, Nairobi.



The two hotels are the 120 room Fairview Hotel, a well established and highly regarded hotel in Nairobi, and the adjacent 84-room Country Lodge. The company is owned by the Szlapak and Abbema families and is a third generation family business.



The transaction is effective from 1 June 2012 but remains subject to regulatory approvals in Kenya and the South African Reserve Bank's approval. City Lodge has formed a joint venture to explore further expansion opportunities in East Africa together with Mark Abbema and Daniel Szlapak who will be joint CEOs of this operation. The initial focus will be on identifying potential sites for development in Kenya, Tanzania, Rwanda and Uganda. While the Fairview Hotel will retain its name, Country Lodge will be rebranded to Town Lodge, in line with City Lodge's intention to increase the penetration of its brand names in other parts of Africa.



City Lodge's entrance into the Kenyan market is its second expansion outside of South Africa, following its announcement earlier this year that it was developing a 106 room Town Lodge in Gaborone, the capital city of Botswana. This hotel is on track for completion in December. Currently, the group has 52 hotels in South Africa offering 6,440 rooms across the Courtyard, City Lodge, Town Lodge and Road Lodge brands. Its hotel under development in Gaborone and its stakes in the two Nairobi hotels will take its portfolio to 55 hotels with 6 750 rooms under management. Outlook

Prospects

If there is no further deterioration in occupancies and the new hotels continue to improve their performance, the group expects to show growth in normalised profit in the year ahead.

The industry is suffering from overcapacity in key areas following a period of many new developments, compounded by soft demand and competitive pricing. Some hotels are already showing signs of stress as the industry adjusts to a new balance of supply and demand. With its range of excellently branded hotels in prime locations, its financial strength and a highly motivated team in place, the group is well positioned to consolidate in this cycle and take advantage of market improvements.

Prospects

Trading after the final of the FIFA World Cup on 11 July has been disappointing amid clear evidence that normal business travel patterns have not yet resumed. Outlook

The group is fully primed and prepared for the Soccer World Cup. Bookings for the duration of the tournament are looking promising, especially in the major host cities. Certain hotels, particularly in the smaller cities, will have rooms available for normal business and leisure travel throughout the tournament. While there was no indication of an improvement in trading conditions in January, it is anticipated that demand for hotel accommodation will increase in the lead-up to the Soccer World Cup, enabling our business to show an improvement in the second six months on the same period of last year. The group still holds the view that trading conditions will begin to normalise only in 2011. The group continues to research opportunities for growth in other parts of the world, including in neighbouring countries and in emerging markets, such as India.

According to The Sunday Times Business Times, the Airports Company of South Africa ("Acsa") has awarded City Lodge the tender to operate three new hotels at O R Thambo International Airport ("O R Thambo"), and at Bloemfontein's and Port Elizabeth's airports. Construction of the City Lodge at O R Thambo will begin in 2009, and when completed in 2010, will be the largest hotel that the group owns. CE Clifford Ross commented that the company was not concerned about the global slowdown and that South Africa offers a lot of room for growth.

Strong demand for the group`s four brands continued during this financial year notwithstanding tighter economic conditions. This enabled the group to maintain its average annual occupancy rate at 82% in the year to 30 June 2008, matching the record level set in the previous financial year. The operating profit margin increased by 2% to 52% and operating profit rose by 23% to R312.2 million.



Dividend

An ordinary dividend of 194.0cps had been declared for the year ended 30 June 2008.



Outlook

Positive trading conditions have continued into the first six weeks of the new financial year which will be boosted by full contributions from additional capacity added in the past financial year. Construction of Road Lodge Potchefstroom is well underway and it is due to open by early November. Construction on the 204-room Town Lodge Port Elizabeth will commence shortly with completion expected by early 2010. Regulatory approvals are still being awaited for previously announced Road Lodges at Southgate (Johannesburg) and Gateway (Umhlanga). It is anticipated that construction will begin in the first quarter of the new financial year. Negotiations are at an advanced stage for the development of City Lodges in Fourways-Johannesburg (200 rooms), Lynnwood-Pretoria (200 rooms) and Hatfield- Pretoria (150 rooms). The two Pretoria hotels will be land and building leases. Construction of all three of these hotels is expected to commence by the end of calendar 2008. The group currently has 42 hotels offering 4 773 rooms across its four brands. On successful conclusion of the expansion plans mentioned above, the portfolio will rise to 49 hotels offering 5 855 rooms across South Africa by the commencement of the FIFA 2010 Soccer World Cup. It is anticipated that occupancies will remain at similarly high levels in the new financial year. Excluding the accounting effects of the successfully concluded BEE transaction, satisfactory earnings growth is anticipated for the year ahead, whilst the newly announced expansion initiatives should underpin longer term earnings prospects.
