At a general meeting of the Company held on 4 May 2018 the requisite majority of shareholders approved specific authority for the directors to issue up to a maximum of 13 656 154 ordinary shares in the Company at an issue price of R6.50 by no later than 4 November 2018 (?Specific Authority?). Shareholders are advised that the Company received an application from Promotion and Development Limited to subscribe for 10 000 000 ordinary shares for a total amount of R65 000 000 (?Specific Issue?). Further details pertaining to the Specific Issue required in terms of the JSE Listings Requirements are as follows:

*The Specific Issue is to a public shareholder and is in respect of a class of shares already in issue.

*The issue price of R6.50 represents a discount of 33.08% to the 30-day weighted average as at 26 February 2018 (i.e. the last practicable date of the circular to shareholders containing details of the Specific Authority).

*The funds received pursuant to the Specific Issue will be applied towards the settlement of the Company?s borrowings and/or used to support the Company?s strategy going forward.

*The Specific Issue shares will be allotted, issued and listed on Tuesday, 16 October 2018.

*The Specific Issue will have no impact on the financial statements of the Company other than the subscription of shares for cash.

Revenue for the interim period increased to USD31 million (2017: USD24.2 million), gross profit grew to USD21.4 million (2017: USD16.5 million) and operating profit before finance cost turned around to USD9.8 million (2017: loss of USD3.5 million). Profit attributable to owners of the parent recovered to USD5.7 million (2017: loss of USD5.3 million). In addition, headline loss per share narrowed to USD0.63 cents per share (2017: loss of USD7.01 cents per share).



Dividend

No dividend was declared during the interim period.



Company outlook

The second half of the year presents the Group?s peak trading season. The Group expects conferencing and international market business to bolster performance, particularly in our Victoria Falls properties, where inward foreign arrivals have been on the increase. We anticipate that the New Victoria Falls Airport will continue to be a conduit for increased foreign arrivals into the destination. Various infrastructure projects across the country, including Robert Gabriel Mugabe International Airport upgrade, Beitbridge to Chirundu road rehabilitation and Beitbridge border post development present opportunities which the Group is set to benefit from. The real estate segment is expected to complete its maiden residential development project and sales thereof are expected to contribute to Group revenue growth for the year.



The Group will strive to achieve further debt reduction in the second half of the year.

Shareholders are referred to the notice of annual general meeting (?AGM?) announced on 30 April 2018 wherein the board of directors (?the Board?) of the Company proposed ordinary shareholder resolution number 5 to approve a general authority to issue shares for cash up to a maximum of 30% of the Company?s total issued ordinary shares, being a maximum amount of 23 556 359 shares, which resolution will be tabled at the AGM on 26 June 2018.



Shareholders are hereby advised that the board proposes that this resolution be amended to reduce the total aggregate number of shares which may be issued for cash in terms of the general authority to a maximum of 15% of the total shares in issue as at the date of the notice of AGM being a maximum amount of 11 779 679 shares (which includes 7 775 000 treasury shares).



The board undertakes to shareholders that it will only issue a maximum amount of 11 779 679 shares (including 7 775 000 treasury shares) under this general authority to issue shares for cash and a maximum of 13 656 154 shares in terms of its specific authority to issue shares for cash approved by shareholders on 4 May 2018. The board believes that this amount is adequate for the Company?s current capital requirements.

Brainworks have released their maiden final results, therefore there are no comparable figures. Revenue for the period came in at USD58.6 million, gross profit was USD39.5 million, loss attributable to owners of the parent was recorded as USD11.1 million, while headline loss per share was USD14.22 cents per share.



Dividend

Due to the fact that the Company posted losses during the year, the Board did not declare a dividend.



Outlook

Following the political developments towards the end of 2017, the new government has declared that ?Zimbabwe is open for business? and that broad theme has been well received by the business community in general and international investors in particular. The current Zimbabwean government has already begun to reverse some policies that were previously considered restrictive to investors coming into the country and these business friendly developments have reignited investor interest in Zimbabwe. The momentum arising from these positive changes and sentiment is expected to drive performance particularly within the hospitality sector.



Key objectives for 2018 will be to raise capital in order to restructure the Group?s debt, and to consolidate and strengthen portfolio companies. The Group will continue to improve operational efficiencies, boost revenues and control costs which should lead to improved profitability and cash flows. The Company continues to seek new opportunities in key sectors as they become available in order to build shareholder value. The directors have always believed that the Group?s assets are anchored on an improvement in the social, political and economic fortunes of Zimbabwe, which is now imminent. Being an election year, 2018 may deliver some challenges and benefits but with every likelihood of a much improved investor and business climate following the elections.

(?GetBucks?) to associates of directors of the Company (?the Transaction?).



Shareholders are advised that the parties to the transaction have concluded an addendum agreement incorporating further terms for the Transaction.



Further terms of the Transaction

The purchasers of the GetBucks shares have agreed to advance the consideration due under the disposal to Brainworks Capital Management, on behalf of Brainworks Capital Management and GetSure, on loan account. The loan attracts interest at a rate of 9% per annum and is unsecured. The interest on the loan is to be settled through the delivery of GetBucks Shares at a price of USD0.0333 per GetBucks Share or in cash should shareholder approval for the Transaction not be obtained by the Company, and is payable on the earlier of the date when shareholder approval for the Transaction is obtained or 11 June 2018.



Conditions Precedent

The Transaction remains subject to shareholder approval in terms of the Listings Requirements of the JSE Ltd.



Categorisation

The transaction remains a category two related party transaction in terms of the JSE Listings Requirements, which will accordingly require shareholder approval as previously announced. A circular, incorporating a notice of General Meeting, will be posted in due course.

Shareholders are advised that false trades in Brainworks shares have been booked on the JSE system in error, thereby causing the share price of the company to drop considerably. The trades were subsequently cancelled however, these false trades still reflect in the closing price. As such, the closing price as at 1 November 2017 does not reflect the true market price of the company?s shares.

The board of directors of Brainworks advised shareholders that the Company has successfully raised USD8 179 808 following the placement of 9 078 677 of its treasury shares with investors, at a price of R11.50 per share (equal to USD0.90 at an exchange rate of 12.78) (?the Placement?). The relevant shares will be transferred to investors on receipt of the necessary approval from the Reserve Bank of Zimbabwe. The Company will have 1 601 879 shares in treasury after the Placement. The funds raised pursuant to the Placement will be applied towards the restructuring of the Company?s balance sheet in order to position it for growth going forward.

The real estate segment is expected to complete its maiden residential development project which will result in 58 residential units being on the market. Sales thereof are expected to contribute to Group revenue growth for the year.
